Bond & Tax Council – (3 Years)

The City of Flint is seeking a law firm to serve as “Bond and Tax Counsel” for a three‑year period, providing comprehensive legal services related to municipal securities, tax financing, and related capital‑improvement programs. The scope includes planning, issuance, documentation, post‑issuance compliance, and advisory services for a variety of financing mechanisms such as appropriation‑backed lease‑financing, drain‑code tax projects, grant‑anticipation notes, and bond refundings. The firm must submit a detailed fee schedule, carry required insurance, and comply with local‑preference pricing rules. • Provide legal counsel on all phases of municipal bond issuance and tax‑related financing. • Prepare and review required legal documents (resolutions, ordinances, trust indentures, escrow agreements, etc.). • Advise on post‑issuance compliance with IRS, SEC, and MSRB regulations, and assist with rating agency interactions. • Submit a fee proposal broken out by proceeds ranges and disclose out‑of‑pocket expenses; maintain price firmness for 120 days. • Meet insurance, vendor registration, and anti‑collusion affidavit requirements; optional local‑preference pricing may apply.
