RFP: Bond Counsel and Disclosure Counsel Services

West Virginia Parkways Authority seeks a qualified law firm (or firms) to serve as Bond Counsel and/or Disclosure Counsel for its 2021 Parkway Revenue Bonds. The selected counsel will prepare and review all legal documentation, provide tax opinions, draft and coordinate Official Statements, and ensure compliance with federal securities laws and MSRB rules. The Authority allows a single firm to perform both roles or separate firms for each, but joint proposals are not permitted. The engagement is expected to support the bond issuance process through the preliminary financing phase and may lead to future work on additional bond series valued at roughly $328 million over the next few years. • Prepare resolutions, bond documents, tax analyses, and legal opinions for the 2021 revenue bonds. • Draft and review disclosure materials for the Official Statements and provide 10b‑5 opinions. • Coordinate with financial advisors, underwriters, and the Authority’s staff; ensure SEC Rule 15c2‑12 and MSRB compliance. • Deliver services on a fee‑based basis; fee proposal required separately. • Potential for ongoing engagements on subsequent bond issuances.
