Web-Based Digital Signature Solution

This contract establishes a five‑year, non‑revenue, IDIQ agreement for the provision of a secure digital‑signature and workflow SaaS platform to Metropolitan Nashville Public Schools. Sertifi, Inc. will supply the software, grant MNPS a license to use it, and deliver services on a purchase‑order‑by‑order basis with no guaranteed minimum spend. Pricing is set at $300 per user per year (optional storage at 20 % of the license fee), and the total contract ceiling is $100,000. The agreement includes standard insurance requirements (minimum $1 M GL, $1 M cyber/privacy, etc.), data‑sharing safeguards in line with FERPA, COPPA, PPRA, SOPPA, breach‑notification within five business days, and a one‑year warranty on the software. Termination can occur for convenience with 30‑day notice or for breach with a 30‑day cure period.
