Promotional and Award Products

This contract is for the provision of promotional products, apparel, and other related items to Educational and Institutional Cooperative Service, Inc. (E&I) member institutions. The contract has a term of 5 years, with the option to renew for an additional 5 years. The vendor, Staples Promotional Products, will provide a range of products and services, including customized e-procurement member sites, tiered transaction purchases, and dedicated customer service. The contract includes a pricing structure based on a cost-plus margin, with discounts available for large volume purchases. The vendor will also provide a monthly report of sales and pay a contract administrative fee (CAF) to E&I. • The contract includes a holdover clause, which allows the vendor to continue providing products and services to member institutions after the termination of the agreement. • The vendor is required to provide a monthly report of sales, which includes information on net sales, pricing, and product information. • The contract includes a warranty provision, which requires the vendor to provide products that are merchantable, of good quality, and free from defects. • The vendor is also required to comply with applicable laws and regulations, including those related to equal employment opportunity and non-discrimination. • The contract includes a termination clause, which allows either party to terminate the agreement with written notice.
